The flow

Southern European mid-caps consolidate across borders open in law and distinct in practice. A French buyer and an Italian family seller share an EU framework but not the same company law, nor the same assumptions about governance or succession. Intra-EU deals can still meet national screening in sensitive sectors.

Family transactions are governance transactions

Price is rarely the only binding constraint. Management continuity, retention of the name and the next generation's role often carry as much weight.

A minority stake is not one thing

The same percentage carries different rights in Paris, Milan, Madrid and Lisbon, and the corporate form matters as much as the country. Statutory rights cannot always be contracted away.

Outbound is often the second half

Some Southern European groups treat domestic consolidation as a platform for the Africa and Gulf corridors, which is worth knowing early.
